CONSTITUTION BRIELLE CHAMBER OF COMMERCE
ARTICLE 1-MEMBERSHIP
Section 1: Any person, firm,
corporation, or association interested in the general welfare of
Brielle and in agreement with the purpose, goals and objectives
of the Brielle Chamber of Commerce shall be eligible for
membership.
Section 1-Qualifications:
a) Any person
representing any firm, business, corporation, partnership
association or organization that conducts or operates a
business or service in Brielle or represents a business
entity that serves the residents or businesses in Brielle
shall be eligible for membership. Membership will allow all
privileges and benefits of the Brielle Chamber of Commerce.
Section 2-Dues: the Officers and
Trustees shall determine annual membership dues. The dues and
budget shall be presented at the February business meeting of
the Chamber in the current year for approval by the general
voting membership for the term of February 1 of the current year
to January 31 of the following year.
a) Existing members: Dues are
payable by March 31 of the current year.
b) New Members: Those who join
and pay dues after November 1 of any year will be credited
for dues payment for the balance of that year and through
the following year.
ARTICLE
2-GOVERNMENT
Section 1. The general management,
government and control of the Brielle Chamber of Commerce shall
be vested in its officers, consisting of a President,
Vice-President, Secretary and Treasurer, who shall be nominated
and elected at the November business meeting in accordance with
the by-laws.

3-MEETINGS
Section 1. The annual meeting of
the Brielle Chamber of Commerce shall be the regular meeting in
November.
Section 2. Special meetings of the
membership may be called at such other times as the president
may determine or upon the written request signed by ten per
cent, (10%) of the members in good standing, provided that when
called otherwise than by the president, the notice shall contain
a statement of the purpose of the meeting and shall be mailed at
least five days preceding the meeting.
Section 3. In all meetings, fifteen
per cent, (15%), of the members in good standing shall
constitute a quorum.
Section 4: General meetings shall
be held throughout the year on a monthly or bimonthly basis as
determined by the executive board.
ARTICLE 4-AMENDMENTS
Section 1. This Constitution may be
amended by a majority vote of the members in good standing in
attendance at any regular meeting; however, this Constitution
shall not be amended, unless the proposed amendment, which must
be in writing, and signed by at least five members, and each
member notified of the proposed change at least ten days prior
to the next regular meeting and carried over until the next
regular meeting for final vote.
BY-LAWS BRIELLE CHAMBER OF COMMERCE
ARTICLE 1 – GROUP MEMBERSHIP
Section 1. Any firm, corporation,
organization or association subscribing for one or more
memberships in the Brielle Chamber of Commerce shall file with
the secretary a notice designating the name of one person
representing that organization for such membership.
ARTICLE 2 – VOTING
Section 1: Voting shall be by
individuals, and no member may cast more than one vote. Proxies
are not allowed.
Section 2: Designated
representatives as described in Article 1 – Group Membership,
Section 1 shall vote as individual members.
ARTICLE 3 - ELECTION OF OFFICERS
Section 1. The annual election of
officers shall be held at the regular meeting in November.
Section 2. A Nominating Committee
consisting of three (3) members in good standing shall be
appointed by the President at the regular meeting of October of
each year.
Section 3. At said annual election
the members assembled shall elect a President, Vice-President,
Secretary, Treasurer, any three of which must be business
members. The fourth Officer may be any member at large.
Section 3: Board should establish dates to serve.
Section 4. Officers are to be
elected annually and serve from January 1st. to December 31.
Section 5. Any vacancies are to be
filled at the next ensuing meeting by the majority vote of the
members present, said nominees to hold office until the next
annual meeting.

Section 6. In the case of a tie
vote, the president shall cast the deciding vote.

ARTICLE 4 – OFFICERS
Section 1. The officers of this
organization shall consist of the following: President,
Vice-President, Secretary, Treasurer, and three Trustees.

ARTICLE 5 - DUTIES OF OFFICERS
Section 1. The President shall, be
the recognized head of the organization and shall preside at all
meetings of the membership. He shall appoint all standing
committees, not otherwise provided for, and shall perform such
other duties as are the prerogative of the presiding officer. He
shall be an ex-officio member of all committees.

president, the vice- president shall perform all the duties of
the office.

Section 3. The treasurer shall be
the recognized fiscal authority of the organization and shall
receive, and have custody of all funds of the chamber,
depositing the same in a bank designated by the members. He
shall pay all vouchers approved by the members at a regular
meeting. The treasurer and the president will both sign all
Brielle Chamber of Commerce checks. The treasurer shall report
at each meeting, giving the financial standing of the
organization. At the first meeting in January, present a full
and comprehensive report for the past year, and turn all records
and funds over to his successor. The treasurer shall also keep a
record of payment of dues

Section 4. The secretary shall keep
a membership list and record of the minutes of each meeting in a
suitable book or books, and issue notices of meetings, and shall
draw vouchers for all monies to be withdrawn from the funds and
they shall be signed by the secretary and the president.

Section 5. The trustees shall audit
the books of the organization at least once annually; they shall
have jurisdiction over furniture, fixtures, and other properties
of the chamber.

ARTICLE 6- COMMITTEES
Section 1. The president shall
appoint all committees, subject to the approval
of the members.

annually appoint standing committees on membership, advisory and
other such committees as may be found necessary.

ARTICLE 7- FINANCES
Section 1. The receipts from
membership dues and from other sources, when the disposition
thereof is not specifically designated, shall be placed in the
general fund of the chamber.

Section 2. The funds of the chamber
shall be expended as ordered at any regular meeting in
accordance with the order of the members. All fixed charges for
the maintenance of the organization and other expenses regularly
incurred shall be paid in the regular manner. No expenditure
shall be made without the approval of the members at a regular
or special meeting.

ARTICLE 8- FISCAL YEAR
Section 1. The fiscal year of the
Brielle Chamber of Commerce shall be on December 31st of each
year.

commence on January 1 of each year.
ARTICLE 9- AMENDMENTS
Section 1. These By-Laws may be
amended by the majority vote of the members in good standing in
attendance at any meeting; however, these By-Laws shall not be
amended, or repealed, in whole or in part, unless the proposed
amendment or repeal, which must be in writing, and signed by at
least five members and shall be held over until the next regular
meeting, and each member be notified of the proposed change at
least ten days prior to the date upon which said amendment or
repeal is voted to be voted on.
